1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Clann AI Limited ("Company," "we," "us," or "our") concerning your access to and use of the Clann Jiu-Jitsu mobile application and web service (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. DESCRIPTION OF SERVICE

Clann Jiu-Jitsu provides AI-powered analysis of Brazilian Jiu-Jitsu training videos. The Service includes:

• Video upload and secure storage
• Automated technique and position recognition
• Performance analysis and scoring
• Training recommendations and coaching feedback
• Video sharing capabilities

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. ELIGIBILITY AND ACCOUNTS

3.1 Age Requirement

You must be at least 13 years old to use this Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian.

3.2 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up to date

3.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.

4. ACCEPTABLE USE POLICY

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You may upload and analyze videos that:

• You own or have explicit permission to use
• Depict Brazilian Jiu-Jitsu training or competition
• Do not violate any third-party rights
• Comply with all applicable laws and regulations

4.2 Prohibited Conduct

You agree NOT to:

• Upload inappropriate, offensive, or illegal content
• Upload videos depicting actual violence or harm
• Violate any intellectual property rights
• Upload content containing minors without parental consent
• Attempt to reverse-engineer or exploit the Service
• Use automated systems to access the Service without authorization
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect user information without consent
• Use the Service for any commercial purpose without our written permission

4.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in immediate account suspension or termination, removal of content, and potential legal action.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Your Content

You retain all ownership rights to videos and content you upload ("Your Content"). By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze Your Content to provide the Service
• Display Your Content back to you and users you explicitly share with
• Use anonymized, aggregated data from Your Content to improve our AI models

We will never sell or publicly share Your Content without your explicit permission.

5.2 Our Intellectual Property

The Service, including its software, algorithms, design, trademarks, and all related intellectual property, is owned by Clann AI Limited and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or exploit any part of the Service without our express written permission.

5.3 Analysis Results

AI-generated analysis, insights, and recommendations produced by the Service are provided to you for your personal use. You may share these results, but you may not use them for commercial purposes without our permission.

6. PAYMENT AND SUBSCRIPTIONS

6.1 Subscription Plans

We offer various subscription plans with different features and video analysis limits. Current pricing is displayed in the app and on our website.

6.2 Payment Terms

By subscribing to a paid plan, you agree to pay all fees associated with your chosen plan. Payments are processed through third-party payment providers (e.g., Apple App Store, Stripe).

• Subscriptions automatically renew unless cancelled
• You will be charged at the start of each billing period
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law

6.3 Cancellation

You may cancel your subscription at any time through your account settings or the platform where you purchased (e.g., App Store). Cancellation takes effect at the end of the current billing period. You will retain access until that date.

6.4 Free Credits

New users receive free analysis credits upon signup. These credits are provided at no cost and do not require a subscription. Once free credits are used, users may choose to subscribe for additional analysis capacity.

7. DISCLAIMERS AND LIMITATIONS

7.1 AI Analysis Disclaimer

Our AI-powered analysis is provided for informational and coaching purposes only. It should not be considered as:

• Professional medical, health, or fitness advice
• A substitute for qualified coaching or instruction
• A guarantee of technique effectiveness or safety
• 100% accurate in all situations

AI systems can make errors. Always consult with a qualified instructor before attempting new techniques or making training decisions.

7.2 Training Safety

Brazilian Jiu-Jitsu involves physical contact and carries inherent risks of injury. By using this Service:

• You acknowledge the risks involved in martial arts training
• You assume all responsibility for any injuries that may occur
• You agree to train under qualified supervision
• You will not hold us liable for training-related injuries

7.3 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of analysis
• Warranties of uninterrupted or error-free operation
• Warranties that defects will be corrected

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLANN AI LIMITED SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Personal injury or property damage arising from use of the Service
• Decisions made based on AI analysis or recommendations
• Interruption or cessation of the Service
• Unauthorized access to or alteration of your content
• Acts or omissions of third-party service providers

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Clann AI Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service
• Any injuries sustained during training

10. TERMINATION

10.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted within 30 days (see Privacy Policy)
• You will not receive a refund for any unused subscription period

10.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• Required by law or government request

10.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@clannai.com to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a fair resolution.

11.3 Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

12. GENERAL PROVISIONS

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clann AI Limited regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity.

12.5 Third-Party Rights

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

13. APPLE APP STORE TERMS

If you access the Service through the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Clann AI Limited only, not Apple
• Apple has no obligation to provide maintenance or support for the app
• Apple is not responsible for addressing any claims relating to the app
• In the event of a third-party claim that the app infringes intellectual property rights, Clann AI Limited, not Apple, is responsible for the investigation and defense
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce these Terms against you
• You must comply with applicable third-party terms when using the app
